These Terms of Use govern the relationship between you and Dhruva Space when you access or use the services of Dhruva Space on any platform whatsoever (the “Service”), the website, associated websites, mobile application or any other mode, medium or format, and/or any of the features or downloads that are made available to you. These Terms of Use along with the Privacy Policy, which is an integral part of the Terms of Use document are a binding agreement between Dhruva Space and you for the use of the Services. This Terms of Use is an electronic record under Information Technology Act, 2000 as amended and the relevant rules made thereunder as applicable and the amended provisions pertaining to electronic records in various statutes under applicable Indian laws. This electronic record is generated by a computer system and does not require any physical or digital signatures.

By using the Service and (where applicable) by clicking “Accept and Continue” or “Continue," you are agreeing to these Terms of Use, which form a binding agreement between you and us. We will periodically update this Terms of Use, and you are requested to check for any updates that may be made hereto.

3. Acceptable Use
(a).You must not use our Services in any way that causes, or may cause, damage to the website or impairment of the availability or accessibility of the website.
(b).You must not use our website in any way which is unlawful, illegal, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.
4. User Content
(a).In these Terms of Use, “your user content” means material (including without limitation text, images, audio material, video material, and audio-visual material) that you submit to our website, for whatever purpose.
(b).You grant to us a worldwide, irrevocable, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate, and distribute your user content in any existing or future media.
(c).Your user content must not be illegal or unlawful, must not infringe any third party's legal rights, and must not be capable of giving rise to legal action whether against you or us or a third party (in each case under any applicable law).
5. Access and Use of Services
In order to use and access the Dhruva Space Services you must (unless stated otherwise):
(a).Attained the legal age of 18 years or older.
(b).Be residing in the territorial jurisdiction of the republic of India (the “service area”).
(c).Agree to these terms along with privacy policy along with terms of end user license agreement
(d).Purchased the service of Dhruva space/ Astraview (“subscriber,” “buyer”) (if applicable); and
(e).Set up a registered account with Dhruva space/ Astraview.
(f).Have internet access and a device that supports functioning of Dhruva space services.
6. Geographic Location
Dhruva Space Services are limited to certain geographic territories only and may expand to further locations as per its sole discretion. Please note that your access to Dhruva Space Services is subject to Know Your Client (KYC) verification process by Dhruva Space. We may use technologies to verify your geographic location in order to provide uninterrupted access of the Services; you shall not use proxy mechanisms (including but not limited to VPN) and technology to surpass such measures taken by us to verify your location.
7. User Accounts
(a).In order to use Dhruva Space Services, you will be required to create an Account as a CX/ Client/ Vendor in accordance with the terms of conditions as per Dhruva Space’s sole discretion. To do this, you will need to complete the registration process by providing required information (including your email address) and choose a password for use in connection with your user account. Please refer to our Privacy Policy for more information on how we process any personal data we collect from you or that you provide to us.
(b).You may only register for yourself, and not for any other person.
(c).You are responsible for all activity occurring under your registered account and for keeping your registered Account information confidential.
(d).You agree that you will:\
- Not allow anyone else to use your Account; and
- Immediately notify us of any unauthorised use of your Account. We will not be liable for any loss or damage arising from unauthorised use or misuse of your Account or your failure to comply with these requirements.
8. Payments
(a).As part of the registration process you may need to provide a credit card, debit card or other payment method accepted by Dhruva Space (“Payment Method”).
(b).By paying using the Payment Method you confirm that you are authorised to use that Payment Method and that there are sufficient funds or credit available to cover the relevant fees. Please refer to our Privacy Policy for more information on how we process any payment information that you provide to us.
(c).By establishing a Payment Method with Dhruva Space, you agree to pay for the relevant Services along with any applicable taxes.
(d).For some Payment Methods, the issuer may charge you certain fees, such as foreign transaction fees or other fees relating to the processing of your Payment Method. Check with your Payment Method service provider for details
9. Pricing:
We have the sole discretion to change our pricing without the need to issue any prior intimation thereto you are requested to check and confirm on all pricing related concerns and information with us before purchasing any of Dhruva Space Services.
10. Limited Warranties
(a).Dhruva Space does not warrant or represent the completeness or accuracy of the information published on this website as information provided is facilitated by third-parties. No warranties or representations by Dhruva Space are made or be construed to be made with respect to any
- Errors, mistakes, or inaccuracies of content,
- Personal injury or property damage, of any nature whatsoever, resulting from your access to and use of the website
- Any unauthorized access to or use of our servers and/or any and all personal information,
- Any interruption or cessation of transmission to or from the website
- Any bugs, viruses, trojan horses, or the like which may be transmitted to or through the website by any third party, and/or
- Any errors or omissions in any content or for any loss or damage of any kind incurred as a result of the use of any content posted, emailed, communicated, transmitted, or otherwise made available via the website.
(b).To the maximum extent permitted by applicable law, we exclude all representations, warranties, and conditions relating to this website and the use of this website (including, without limitation, any warranties implied by law of satisfactory quality, fitness for purpose, and/or the use of reasonable care and skill).

(e).Dhruva Space does not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the Website or any hyperlinked website or featured in any banner or other advertising, and Dhruva Space will not be a party to or in any way be responsible for monitoring any transaction between you and/or other merchant and/or third-party service providers.
11. Confidential and Proprietary Information
You agree not to try to access and not to access any information through the Services that does not relate to you and which you are not properly authorised to receive. In no event shall Dhruva Space, its officers, directors, employees, or agents, be liable for direct, indirect, incidental, special, consequential or exemplary damages (even if Dhruva Space has been advised of the possibility of such damages), resulting from your use of the Website including but not limited to the damages that may arise from your use or misuse of the Website or the service, from inability to use the Website, or the interruption, suspension, modification, alteration, or termination of the Website. These limitations shall apply to the fullest extent permitted by law. You specifically acknowledge and agree that Dhruva Space shall not be liable for contents that are defamatory, offensive or found illegal.
13. Indemnification
You agree to indemnify us and hold us harmless from and against any claims arising out of or relating to all actions, proceedings, claims (including third party claims), liabilities (including statutory liability), penalties, charges, demands and costs (including without limitation, legal costs of the other Party), awards, damages, losses and/or expenses however arising directly or indirectly or consequentially suffered or incurred by the user as a result of any breach or non-performance of their respective undertaking/s, warranties:
(a).Information, details and content that you submit or transmit for the website.
(b).Infringement of any third-party intellectual property rights,
(c).Any breach of terms and conditions of these Terms of Use,
(d).Any breach of applicable laws.
You specifically acknowledge and agree that Dhruva Space shall not be liable for contents that may be defamatory, offensive or found illegal.
14. Parental Control
(a).You may not subscribe to our Services unless you are 18 years old or over.
(b).Parental controls for the Service may be accessed in one of the two following ways:
(c).It is your responsibility to review and monitor the access restrictions associated with each piece of content available via Services, and we do not accept any liability for any access restrictions or the expiration of any availability windows. Dhruva Space reserves the right, in its sole discretion, to disable access any time
15. Service Updates
By using the Services, you acknowledge and agree to receive, without further notice or prompting, updated versions of the Services and related third-party software (if any).
16. Termination of rights
We can end your rights under these Terms of Use immediately at any time and without refunding your purchase fee if:
(a).You are in breach of these Terms of Use;
(b).We believe you have committed fraudulent activity against us or any third party through your use of the Services; or the fees or any portion of the fees is still unpaid.
(c).We can also end your access to the Services immediately at any time, giving you as much notice as possible, if we’re forced to do so for technical or operational reasons beyond our control.
(d).If we end your rights under these Terms of Use, you must immediately stop all activities authorised by these Terms of Use, including your access to the Dhruva Space Services.
17. Intellectual Property
(a).As between you and Dhruva Space, all aspects of the Dhruva Space Services are owned by Dhruva Space and are protected by applicable domestic and international copyright and other intellectual property laws.
(b).Any and all underlying patentable or copyright (or copyrightable) elements (or elements protectable as trade secrets or otherwise under intellectual property laws) related to the Dhruva Space Services, including without limitation, source code, script, object code, software, protocols, algorithms, computer programs, data and other sets of statements and instructions contained in and/or used to deliver the Dhruva Space Services will be considered the property of Dhruva Space (“Dhruva Space IP”).
(c).DHRUVA SPACE, DHRUVA, ASTRAVIEW and all related registered and unregistered trademarks, service marks, names and logos (“Dhruva Space Marks”) are the property of Dhruva Space Private Limited. The Dhruva Space Marks may not be used without the express written permission of Dhruva Space.
18. Anti-Spam Policy
You certify that you will use the Website in accordance with these Terms of Use. You are forbidden to transmit unsolicited commercial email (spam) by using the Website. Additionally, you are required to reconfirm (permission pass) or stop mailing an existing list when it is determined to be in violation of our anti-spam policy. Repeated violations or failures to comply with this anti-spam policy will result in termination of your access to the Website. You agree and acknowledge that, we shall not be held liable for any claim that may arise due to your violation of this anti-spam policy.
19.Governing Law
These Terms of Use are governed and construed according to the laws of India and the Courts in Hyderabad, Telangana shall have exclusive jurisdiction to entertain any proceedings in any way relating to or concerning these Terms of Use.
20. Force Majeure
Without limiting the foregoing, under no circumstances shall Dhruva Space is held liable for any damage or loss due to deficiency in performance of Services resulting directly or indirectly from acts of nature, forces, or causes beyond its reasonable control, including, without limitation to internet failures, computer equipment failures, telecommunication equipment failures, software failures, machinery breakdown, strike, or due to government regulations, floods, storms, pandemic, epidemic, electrical failure, civil disturbances, riots and any other reason beyond reasonable control of the Merchant or the Application.
21. Error Reporting and Feedback
In case of any technical issues or feedback (“Feedback”), please send us your queries at info@dhruvaspace.com. You acknowledge and agree that:
(a).You shall not retain, acquire, or assert any intellectual property right or other right, title, or interest in or to the Feedback.
(b).Dhruva Space may have development ideas similar to the Feedback.
(c).Feedback does not contain confidential information or proprietary information from you or any third party; and
(d).Dhruva Space is not under any obligation of confidentiality with respect to the Feedback.
In the event the transfer of the ownership to the Feedback is not possible due to applicable mandatory laws, you grant Dhruva Space and its affiliates an exclusive, transferable, irrevocable, free-of-charge, sub-licensable, unlimited and perpetual right to use (including copy, modify, create derivative works, publish, distribute and commercialise) the Feedback in any manner and for any purpose.
